As of 1 February 2021, KDPW offers an application for the issuance of ISIN codes (together with CFI and FISN) of financial instruments not registered in the KDPW depository system. The application supports the issuance of codes of financial instruments for the purpose of their registration by entities operating shareholder registers.
The ISIN Issuance
application is available at https://online.kdpw.pl
Non-public instruments issued by joint-stock companies and limited joint-stock companies will be obligatorily dematerialised as of 1 March 2021 under the Act of 30 August 2019 amending the Commercial Companies Code and certain other Acts (Journal of Laws, item 1798, and of 2020, item 875). To facilitate the identification of securities in shareholder registers, since 1 February 2021 KDPW offers the ISIN Issuance application which supports the issuance of ISIN codes (together with CFI and FISN) of financial instruments which have to be dematerialised. According to the Commercial Companies Code, instruments which are issued an ISIN may be entered into a register in the balance format rather than in units. The service is addressed to entities which operate shareholder registers and enables them to independently obtain ISIN for issues of instruments of shares issued by joint-stock companies and limited joint-stock companies which have not registered any securities series in KDPW.
The service supports automated issuance of ISIN codes of:
- subscription warrants,
- holding certificates (Polish: świadectwa użytkowe),
- founder certificates (Polish: świadectwa założycielskie),
- profit sharing,
- assets distribution sharing.
KDPW is planning to extend the service portfolio by adding new financial instruments at a later date.
Access to the ISIN Issuance application is only available to entities which operate shareholder registers. Interested entities should submit an application for the status of NUMBERING AGENT together with required enclosures including the declaration of acceptance of the Rules. The KDPW Management Board will pass a resolution on that basis to establish a contractual relationship. In the next step, the Agent’s users may apply for access to the ISIN Issuance application. To get access to the application, submit an electronic application at https://online.kdpw.pl
For entities which have been issued an institution code as a part of other services provided by KDPW, the code is used to apply for access to the ISIN Issuance application after a contractual relationship is established.
